Every prospective user is requested to agree to the User Regulations indicated below, then file an application.

User Regulations for the JMF Materials Procurement Network
The Japan Machinery Federation ("JMF") hereby sets forth
the User Regulations for the JMF Materials Procurement
Network as follows:
Article 1 (Definition)
For the purpose of this set of regulations, the terms
listed below shall have the corresponding meanings indicated
below.
(1) "The Service" shall refer to the Materials Procurement
Network Service provided by the JMF.
(2) "A User" or "Users" shall mean (a) corporation(s)
and/or individual business operator(s) qualified to
use the Service according to the procedure set forth
by the JMF.
(3) "IDs and other facilities" shall mean user IDs and
passwords to be loaned by the JMF to Users, along with
other codes or numbers to be given by the JMF to Users
for access to the Service.
Article 2 (Application for access to the Service)
1. Prospective Users of the Service shall agree to the
provisions of this set of regulations, then apply to
access to the Service according to a separate procedure
set forth by the JMF. A user agreement on the Service
shall be construed as having been established between
the particular prospective User and the JMF at the moment
when an ID and other facilities are given to the particular
prospective User.
2. If the JMF finds that any application filed as set
forth in the preceding clause is problematic, the JMF
may not accept the said application. Such non-acceptance
shall not make the JMF take any responsibility for not
accepting the said application for the particular prospective
User of the Service, and shall not obligate the JMF
to explain or disclose the reason for not accepting
the said application.
Article 3 (Preparations for equipment and other facilities)
The User shall, under his or her own expense and responsibility,
make all preparations for entering into user agreements
on communications equipment, software, and phone line(s)
and for subscribing to an Internet connectivity service
required for access to the Service.
Article 4 (Charges and payments)
1. JMF corporate members are free of charge.
Article 5 (Intellectual property rights)
1. All systems and constituents constituting the Service,
along with all intellectual property rights accompanying
the said systems and constituents, shall belong to the
JMF.
Article 6 (Control of IDs and other facilities)
1. The User shall be responsible for controlling his
or her IDs and other facilities.
2. The User shall not permit his or her IDs or other
facilities to be used by a third party other than the
User, and shall not loan, transfer, sell or otherwise
give his or her IDs or other facilities to any such
third party.
3. All damages arising out of the insufficient control
of IDs or other facilities, any error in the use thereof,
the use thereof by a third party, or any other mistake
on the part of the User shall be compensated for by
the User. The JMF shall not take any responsibility
therefor. The charges and rates for the Service arising
out of the use of IDs and facilities by a third party
shall all be compensated for the User who is in charge
of controlling the particular IDs and other facilities,
except when such use of IDs and facilities by a third
party is conducted for a reason attributable to the
responsibility of the JMF.
Article 7 (Indemnity)
1. The JMF will not take any responsibility for any
damage to the User arising out of a delay in the provision
of the Service, a modification, suspension, or abolition
of any part of the Service, or the provision of the
Service.
2. The JMF shall not take any responsibility for any
part of the merchandise transactions and trading through
a home page born out of the Service.
3. If any conflict occurs between the User and a third
party through the use of the Service by the User or
through a home page thereon, or if the User causes any
damage to a third party, the User shall resolve the
said conflict or compensate for the damages upon his
or her own expense and responsibility.
Article 8 (Prohibitions)
The User shall, in using the Service, not conduct any
of the acts described below.
(1) The act of infringing on any copyright, property
right or other right of another User,
third party, or the JMF
(2) The act of causing any adverse impact or damage
to another User, a third party,
or the JMF
(3) The act of compromising the confidence or honor
of the JMF or a third party
(4) The act of violating the public policy or any act
at risk of violating the public policy.
(5) Any act of crime or any act that may lead to an
act of crime.
(6) The act of filing a false application or registration
with the JMF
(7) Any election campaign or any similar act
(8) Any act hampering the operation of the Service.

(9) The act of using any ID or other facility illegally
(10) Any act in violation of any provision of this set
of regulations or any law
(11) Any other act found by the JMF to be inappropriate.
Article 9 (Termination and cancellation)
1. In any case corresponding to Article 8, the JMF reserves
the right to terminate the registration of the corresponding
User immediately without prior notice.
Article 10 (Applicable laws)
This set of regulations shall be interpreted as per
relevant Japanese laws.
Article 11 (Principles of settlement by deliberation and competent court)
1. All problems that may have occurred between the User
and the JMF in connection with the Service shall be
deliberated in good faith between the User and the JMF.
2. All problems that persist after such deliberation
shall be submitted to the exclusive jurisdiction of
the Tokyo District Court.
Article 12 (Effective date)
This set of regulations shall come into effect on September 10th, 2001. |
